Terms for Management Services Agreement

The following terms and conditions constitute an agreement between you and Zaya Health Inc., and its affiliates (collectively, “Company”, “us”, “we”).
Terms
1. Billing and Insurance Payments
You grant permission to Zaya Health Inc. DBA Mentaya (referred to as "Company") to bill insurance companies for out-of-network services and reassign insurance payments. All rights, title, and interest in insurance payments generated from out-of-network services within the scope of your professional practice that you have submitted claims for through the Company will be reassigned, transferred, and conveyed to the Company.
2. Submission of Insurance Claims
The Company is authorized to submit insurance claims directly to relevant insurance companies or third-party payers for out-of-network services under their Organization Type 2 NPI and EIN.
3. Payment Transfer
In most instances, the Company will promptly transfer insurance payments to your patients upon receipt for out-of-network services. However, in exceptional cases requiring investigation or believed to be in error, the Company reserves the right to withhold payment pending resolution or clarification.
4. Effective Period
This agreement commences upon accepting the terms in the application and remains in force until terminated by either party with 14 calendar days of written notice.
5. Confidentiality and Compliance
You agree to maintain patient confidentiality and uphold other proprietary information in compliance with applicable laws and regulations.
6. Governing Law
This agreement is governed by the laws of California, without regard to conflict of law principles.
7. Amendments
Company may revise these terms for management service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms for management service.
